Parties

A. FASHIONCLASH Foundation, hereinafter referred to as FC.
B. The party receiving this document, hereinafter referred to as the Participant.

Definitions
For the purposes of these Terms & Conditions, the following terms shall have the meaning ascribed to them below:

"FC" refers to the FASHIONCLASH Foundation, the organizer of the Project.

“FCF” refers to FASHIONCLASH Festival 2025, taking place in Maastricht, The Netherlands, from 14 November 2025 to 16 November 2025.

“x Amarte” refers to the platform dedicated to supporting cultural organizations and institutions that focus on highlighting talented makers.

“Project” refers to the collaborative venture planned by Amarte Fonds and FC.

“Participant” is the selected artist who applied for the Project.

“Duo” refers to artist and fashion maker who collaborate on the Project

“Work” refers to the joint creation for the Project by the Duo.

“Coach” refers to the professional appointed by FC to guide the Duo leading up to FCF. 

1. Context

1.1 x Amarte is a collaboration between Amarte Fonds and FC, organized in connection to FCF. The Project includes a development trajectory leading up to FCF.

1.2 The Project follows a process divided into four phases, including match making between Participant and fashion maker, coaching, development, production preparation, and the final presentation at FCF.

1.3 The Participant collaborates with a fashion maker on the development and creation of new joint Work.

1.4 The final presentation of the Work will be physically in Maastricht, The Netherlands, from Friday 14 November 2025 until Sunday 16 November 2025, exact time and location to be decided in consultation between Duo and FC.

2. Conditions of Participation

2.1 The Project is open to anyone who identifies as an artist, regardless of education, discipline and background.

2.2 Submitting an application via the website of FC for the Project is mandatory.

2.3 Participant must be based in The Netherlands.

2.4 FC’s selection decisions are final and non-negotiable. No correspondence will be entertained regarding these decisions

3. Working Method and Meetings

3.1 The Project consists of four phases, with key meetings and milestones outlined below. Attendance by the Participant at key meetings is mandatory. Unjustified absences may affect participation and compensation.

3.2 FC is responsible for the match making between Participant and fashion maker, referred to as Duo.

3.3 Additional meetings between Duo and Coach are planned in consultation between both parties.

3.4. FC oversees the production, facilities, and administrative management of the project.

Phase 0: Open Call for Participants

  • Application deadline: Wednesday 30 April 2025, 23:59 (CET)

  • Announcement selected participants: Week 20, 12-16 May 2025

Phase 1: Matchmaking & kick-off (May-June 2025)

  • Matchmaking selected Participant with fashion maker: Week 21 – Week 24

  • Kick-off meeting (online): Wednesday 18 June 2025, 16:00 – 17:00 (CET). Introduction, explanation of the Project, hosted by FC.

Phase 2: Coaching & Development (June – September 2025)

3.5 Duo receives 6 coaching sessions (30 minutes per session). Sessions can be divided and performed across phase 2 and 3.

3.6 Duo delivers PR materials, including an English-written bio of the Duo and a description of the Work, and a minimum of 5 and a maximum of 10 images for promotional purposes.

3.7 Important dates

  • PR materials deadline: Monday 1 September 2025, 23:59 (CET)

Phase 3: Coaching & Production Preparation (September-November 2025)

3.8 Duo joins an online 1-on-1 (technical) production meeting (± 20 min) for the Work.

3.9 Duo delivers royalty free music, audio and/or video as part of the Work, if applicable.

3.10 Important dates

  • Online 1-on-1 (technical) production meeting: Week 42 (13-15 October 2025, exact date & time to be confirmed).

  • Deadline for delivery of royalty free music, audio and/or video, if applicable:  Wednesday 1 October 2025

Phase 4: Presentation at FCF

3.11 The Work will be presented from Friday 14 November 2025 until Sunday 16 November 2025, exact time and location to be decided in consultation between Duo and FC. The Work can be presented ongoing throughout FCF and/or at specific moments

3.12 FC will provide basic technical support (e.g., lighting and sound), if applicable. Other presentation equipment needed for the presentation is to be discussed.

3.13 Duo must be physically present during FCF.

3.14 Duo receives 3 overnight stays during FCF.

3.15 An online evaluation with FC will take place after FCF, before the end of 2025, exact date + time to be decided by FC. 

4. Presentation

4.1 FC is responsible for the overall construction, appearance and design of FCF.

4.2 Changes to dates and times, as referred to in these Terms & Conditions, will not entitle the Duo to cancel their application, either partially or entirely.

4.3 General scheduling and timetabling of the public presentation(s) and press & industry presentation(s) are entirely at the discretion of FC.

4.4 The Duo is required to discuss any potential alterations of the Work with FC. Alterations will not always be permitted by FC.

4.5 FC reserves the right to modify or exclude the Work from presentation if deemed necessary for the overall cohesion of FCF.

5. Compensation Fee & Payment

5.1 Participating in the Project is free of charge.

5.2 Participant of the Project receives a participation fee of €2500 excl. VAT from FC. The fee is equal for both individual and a collective (more than 1 person) Participant.

5.3 If the Participant is registered as a company with a valid VAT number, they can send an invoice to FC after participating in FCF– until Monday 1 December 2025.

5.4 If Participant does not own a valid VAT number, they can ask for a compensation form to receive the compensation fee.

5.5 Additional (international) banking costs are on behalf of the Participant.

5.6 A joint reimbursement (receipts required) with a max. of €1000 for the Duo can be made for, but is not limited to, materials, external staff, etc.

5.7 Participant can reimburse travel costs after phase 4 (max. €200, receipts required). The travel reimbursement is equal for both individual and a collective (more than 1 person) Participant.

5.8 In case of cancellation on behalf of Participant/ Duo, they will not receive the participation fee as mentioned in 5.2.

5.9 If the Participant/ Duo cancels their participation after 1 September 2025, they will be liable for any costs incurred, irrespective of the reason.

5.10 Duo receives 2 entrance tickets for guests to visit their presentation, if applicable (if paid or public, free event)

5.11 Duo does not receive entrance tickets to other events or programs as part of FCF.

6. Copyright

6.1 The joint Work that is developed for the Project is created from an equal position and is artistic property of the Duo.

6.2 FC is the proprietor of all intellectual property rights related to FCF, including the FC brand (name), logo(s), and FCF image(s). FC also reserves the right to use all intellectual property of the Participant for promotional purposes.

6.3 FC may grant the Participant the right to use the brand name, logo(s), and/or FCF image(s) for individual promotional use. In such cases, FC may require that the trademarks and/or images be used solely in the form provided by FC. The Participant may not use these trademarks and/or images for purposes other than promotion and may not distort them in any way.

6.4 In the event of a breach of the conditions outlined in 6.2, the Participant must immediately cease using the trademarks and/or images upon FC’s first request.

6.5 FC reserves the right to use the Participant's intellectual property solely for promotional purposes related to the Project, both during and after FCF.

6.6 This includes the right to distribute such images or clips via digital platforms, social media, press releases, websites, and other promotional channels without additional compensation to the Participant or third parties, unless otherwise agreed in writing.

6.7 By entering the FCF, the Duo confirms that they hold all rights and permissions for the developed Work, including but not limited to rights related to music and design.

6.8 The Participant acknowledges that FC may photograph or film during FCF, including the Participant’s presence at FCF, and may use these images and recordings for promotional and archival purposes, including but not limited to marketing materials, websites, and social media.

7. Promotion

7.1 FC is solely responsible for the promotion of FCF and will do its utmost to ensure equal and unbiased promotion of each Duo and their contribution.

7.2 FC will not be held accountable if certain media outlets choose not to cover a Duo’s contribution.

7.3 If accepted, the Duo hereby agrees that submission imagery, including film and clips, will be made available for use in the promotional activities of FCF and for further distribution through FC’s networks, social media channels, and events, unless otherwise agreed upon in writing in advance. 

8. Liability

8.1 Neither FC nor any of its representatives, partners, or sponsors will be liable for any damage, direct or indirect, sustained by the Participant, their staff, or visitors, including but not limited to operating loss, theft, destruction, or any other cause caused by third parties.

8.2 FC is not liable for indirect and/or consequential damages, including, but not limited to, loss of profits and turnover, regardless of the cause.

8.3 The Participant holds FC harmless against any claims by third parties related to the loss of items, regardless of the cause, as long as the loss was caused by the Participant, their staff, or their visitors.

8.4 The Participant shall indemnify and hold harmless FC from any and all claims, liabilities, damages, and expenses (including but not limited to attorney's fees and court costs) arising from claims involving copyright, trademark, credits, publicity, screening, and loss or damage to the submitted work.

8.5 If the Participant wants insurance for the damages mentioned in this article, they must arrange appropriate insurance coverage for themselves for the duration of the Project.

8.6 If the Participant wishes to ship items to FC headquarters for the Project, they are responsible for any customs taxes and duties on international packages outside the European Union.

8.7 The Participant warrants that in the event of a rights dispute, they will be liable for all legal costs incurred by all parties involved.

8.8 The Duo warrants that they are authorized to commit their work for presentation and indemnifies and holds harmless FC, its sponsors, associates, affiliates, directors, employees, subcontractors, and consultants from any and all claims, liabilities, losses, damages, and expenses, whether consequential or incidental, arising from copyright or trademark infringement and/or loss or damage of the submitted content.

9. Confidentiality and Code of Conduct

9.1 The Participant agrees to keep any confidential information disclosed by FC or other parties related to the Project confidential and not to share such information with third parties without prior written consent from FC. This includes, but is not limited to, details about the Project, the selection process, sponsors, and any non-public information shared during the Project.

9.2 The Participant agrees to conduct themselves in a professional and respectful manner throughout the Project. This includes, but is not limited to, respecting other participants, FCF attendees, FC staff, and all FCF staff, as well as following all guidelines set by FC regarding behavior during FCF. Any Participant who engages in inappropriate behavior or misconduct may be disqualified or removed from the FCF at FC’s discretion. 

10. Force Majeure

10.1 FC shall not be liable for any failure or delay in performing its obligations under these Terms & Conditions if such failure or delay is due to causes beyond FC's reasonable control, including but not limited to natural disasters, strikes, civil unrest, war, pandemics, or any other unforeseen event of force majeure.

10.2 In the event of force majeure, FC reserves the right to cancel, postpone, or reschedule FCF or to alter the format of FCF. If FCF cannot take place as planned due to force majeure, FC will notify the Participant as soon as possible and will not be held liable for any direct or indirect losses incurred by the Participant as a result of the change or cancellation.

10.3 If FCF is cancelled or significantly altered due to force majeure, the Participant shall have the right to withdraw from FCF, but will not be entitled to a refund of any fees or compensation for costs incurred. 

11. Privacy and Data Protection

11.1 By submitting to the Project, the Participant agrees to provide certain personal information to FC, which may include name, contact details, biographical information, and other relevant data.

11.2 FC will process the Participant’s personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR). Personal data will be used solely for the purpose of organizing and promoting the Project and may be shared with Project partners and sponsors for those purposes.

11.3 Under the GDPR, the Participant has the right to correct, and delete their personal data. The Participant may also withdraw consent at any time, subject to applicable laws. Requests for data correction, or deletion should be submitted to FC at the provided contact details.

11.4 FC will retain the Participant’s personal data only for as long as necessary for the purposes outlined in these Terms & Conditions and in compliance with applicable laws.

12. Subletting

The Participant is not permitted to assign or sublet their participation to third parties without obtaining prior written approval from FC. If the Participant violates this clause, they will be required to pay FC a non-negotiable fine of €2,000.

13. Sponsors

13.1 FC has partner and sponsor relationships with several media outlets and businesses. The Participant is not allowed to make their own sponsorship agreements with companies or organizations regarding their creative work for the Project unless written permission from FC is obtained. FC reserves the right to require the cancellation of any such sponsorship agreements.

13.2 By entering the Project, the Participant assigns all rights, title, and interest in the film and clips to FC, its sponsors, associates, affiliates, directors, employees, subcontractors, and consultants for promotional and advertising purposes related to the Project, in perpetuity and on an irrevocable basis. This may include fulfilling any sponsor-related obligations, subject to the availability of the Participant and the sponsor covering all associated costs, including travel and accommodation.

14. Applicable Law and Jurisdiction

14.1 The agreement between FC and the Participant, including these Terms & Conditions, is governed by Dutch law.

14.2 Any disputes arising out of or relating to the agreement between FC and the Participant must exclusively be brought before the competent court in Maastricht, The Netherlands. 

15. General Provisions

15.1 These Terms & Conditions constitute the entire agreement between FC and the Participant regarding the Project and supersede all prior agreements or understandings.

15.2 If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 FC reserves the right to modify these Terms & Conditions at any time. Any changes will be communicated to the Participant in writing, and such changes will become effective upon notice.
